Legalfy Cloud – Terms of Use

1. Acceptance of Terms

By accessing or using Legalfy Cloud ("Platform"), operated by 1902090 Alberta Inc. ("we", "us", or "our"), you ("you" or "User") agree to be legally bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Platform.

1.1 Eligibility

You must be at least 18 years old and have the authority to bind your organization to these terms. If you are using the Platform on behalf of a law firm or organization, you represent and warrant that you are authorized to do so.

2. Services Provided

Legalfy Cloud provides AI-assisted tools designed to support licensed legal professionals and their teams. These tools include document analysis, matter management, billing automation, and workflow coordination features.

We do not provide legal advice or representation. The Platform is a productivity tool, not a law firm. Nothing provided through the Platform — including AI outputs — constitutes legal advice, opinion, or representation. You are solely responsible for ensuring the appropriateness, accuracy, and legal validity of any information used in your practice.

3. Account Registration

To access most features, you must create an individual user account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Each user must have their own unique login. Account sharing is strictly prohibited. You may not share your credentials with colleagues, staff, or external parties. Violation of this policy may result in suspension or termination of access.

4. Subscription & Billing

By subscribing to a paid plan:

• You are charged the full monthly base fee upon activation, regardless of usage.
• Minimum seat charges apply even if fewer users are active.
• Usage-based charges (e.g., OCR, AI tokens, additional users) are billed in arrears.
• Subscriptions renew automatically unless canceled before the next billing cycle.
• Cancellation halts future renewals but does not refund current charges.
• After cancellation, a final invoice may still be issued for any outstanding usage-based fees.

All pricing, taxes, and billing terms are clearly displayed at the time of signup and are subject to change with notice.

Taxes: All fees are exclusive of applicable sales taxes, including GST/HST. You are responsible for all required taxes based on your jurisdiction.

5. AI-Generated Outputs

The Platform may generate content using AI systems, including but not limited to summaries, document suggestions, and analyses. These are for informational purposes only and are not a substitute for professional legal judgment. You are solely responsible for reviewing and verifying all outputs.

6. Document Ownership

You retain all rights to documents and data you upload. We claim no ownership over your content. By using the Platform, you grant us a limited license to store and process your data for the purpose of providing services.

7. Data Security

We implement appropriate safeguards to protect user data. However, no system is 100% secure, and you acknowledge that you upload data at your own risk.

8. Acceptable Use

You agree to use the Platform in compliance with our Acceptable Use Policy. Misuse may result in suspension or termination.

9. Beta Features

From time to time, we may release beta or experimental features. These are provided “as is” without warranties and may change or be removed at any time.

10. Limitation of Liability

To the fullest extent permitted by law, we disclaim all warranties and shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.

12. Modifications

We reserve the right to modify these Terms at any time. Users will be notified of material changes. Continued use of the Platform constitutes acceptance.
